1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Qallie platform, website, and services (collectively, the "Service") operated by Qallie SAS ("Qallie", "we", "our", or "us").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not use the Service.

2. Service Description

Qallie is a software-as-a-service (SaaS) platform that provides:

  • An AI-powered chat widget that businesses can embed on their websites to handle guest inquiries, reservations, and customer communication.
  • Voice mode capabilities (speech-to-text and text-to-speech) for accessible guest interactions.
  • A management dashboard for businesses to monitor conversations, manage menus/services, and view analytics.
  • A live inbox for real-time manager-to-guest communication.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will provide at least 30 days' notice for material changes that affect your use of the Service.

3. Accounts & Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activity that occurs under your account.
  • Notifying us immediately of any unauthorized access at [email protected].

Each account is associated with a single business. You may invite team members to your account with varying permission levels (owner, admin, manager, hostess). You are responsible for the actions of all team members on your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent purposes.

4. Subscriptions & Billing

4.1 Plans

Qallie offers Free, Pro, and Enterprise plans. Features and limits for each plan are described on our pricing page. We may adjust plan features with 30 days' notice.

4.2 Billing

Paid plans are billed in advance on a monthly or annual basis. Prices are in Euros (EUR) and exclude VAT, which is added based on your country of residence in accordance with EU tax regulations.

4.3 Payment

Payment is processed through our third-party payment providers (Stripe, PayPal). You authorize us to charge your selected payment method for all fees associated with your plan.

4.4 Upgrades & Downgrades

You may change your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the end of the current billing period.

4.5 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, your plan remains active until the end of the current billing period. No partial refunds are provided for unused time.

4.6 Refunds

We offer a full refund within 14 days of any paid plan purchase if you are not satisfied. Refund requests should be sent to [email protected].

4.7 Overages

If you exceed your plan's AI message or token limits, AI responses will be paused until the next billing cycle. Your chat widget remains active, and managers can continue to respond manually.

5. Acceptable Use

You agree to use the Service in compliance with all applicable laws and regulations. You may not:

  • Use the Service for any illegal, fraudulent, or harmful purpose.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Transmit malware, spam, or any content that is abusive, defamatory, or infringes on intellectual property rights.
  • Use the AI assistant to generate content that is misleading, harmful, or violates third-party rights.
  • Resell, sublicense, or redistribute the Service without our written consent.
  • Interfere with or disrupt the Service or the servers and networks connected to the Service.
  • Scrape, harvest, or extract data from the Service through automated means.
  • Use the Service to compete directly with Qallie or develop a competing product.

Violation of these rules may result in immediate suspension or termination of your account.

6. Data Ownership & Intellectual Property

6.1 Your Data

You retain all ownership rights to the data you provide to the Service (business information, menu items, conversation history, uploaded files). We do not claim ownership of your data.

6.2 License to Us

You grant us a limited, non-exclusive license to use your data solely for the purpose of providing and improving the Service. This includes processing conversations through our AI providers.

6.3 Our Intellectual Property

The Service, including its design, code, algorithms, AI models (as configured by us), documentation, and branding, is owned by Qallie and protected by intellectual property laws. You may not copy, modify, or reverse-engineer any part of the Service.

6.4 Widget Embed

We grant you a non-exclusive, revocable license to embed the Qallie chat widget on your website(s) for the duration of your subscription.

7. AI Disclaimer

The Qallie AI assistant is designed to help, not replace, human judgment. Please be aware that:

  • AI responses are generated automatically and may occasionally be inaccurate, incomplete, or inappropriate.
  • You are responsible for reviewing and configuring the AI's behavior for your business (menu data, opening hours, reservation rules).
  • The AI does not provide medical, legal, or financial advice.
  • We recommend monitoring AI conversations through the inbox, especially during the initial setup period.

We continuously improve our AI but cannot guarantee error-free operation. Qallie is not liable for decisions made by guests based on AI-generated responses.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
  • Our total liability for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or willful misconduct.

9. Indemnification

You agree to indemnify, defend, and hold harmless Qallie and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Content you provide through the Service.
  • Your violation of any applicable law or third-party rights.

10. Termination

Either party may terminate the agreement:

  • You may cancel your account at any time through your account settings or by contacting us.
  • We may suspend or terminate your account immediately if you violate these Terms, or with 30 days' notice for any other reason.

Upon termination, your right to use the Service ceases immediately. You may export your data before termination using the data export feature. After the 30-day grace period, all data is permanently deleted in accordance with our Privacy Policy.

11. Governing Law & Disputes

These Terms are governed by the laws of France, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any disputes arising from or relating to these Terms or the Service shall be resolved through:

  1. Informal resolution — Contact us first at [email protected]. We will attempt to resolve the dispute within 30 days.
  2. Mediation — If informal resolution fails, the parties agree to attempt mediation before any court proceedings.
  3. Jurisdiction — If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Paris, France.

If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr.

12. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

If you do not agree with the changes, you may cancel your account before the changes take effect.
